Subscription Initiation. A subscription membership does not start until an engagement agreement with Extended Counsel LLC (the “Firm”) has been signed and advance payment has been completed. The information on this website is not meant to be legal advice or to constitute an offer to provide legal services.
Subscription Fee Payment. Subscription memberships are month to month and the fees are payable in advance. The first monthly subscription fee must be paid to initiate membership. When you initiate a subscription membership you will be required to provide a form of payment that will be held on file and automatically charged each month. The monthly fee for the following month will be automatically charged at the end of current month unless a termination notice has been received.
It is your responsibility to keep your payment method updated in your client account. If your provided payment fails to process we reserve the right to immediately terminate your membership. We will work with you to promptly fix any processing error or to replace the payment method in your account. However, if this process is delayed we may need to terminate your membership or delay services until the payment issue is resolved.
Subscription Timing. A new subscription begins on the first day of the next month, except as noted below. If you engage Extended Counsel under a subscription plan by the 10th day of a month you can elect to start your subscription during that month or the following month. The subscription will not be prorated if initiated after the first day of a month. This is due to the nature of the subscription plan which provides a certain volume of services based on a set fee amount.
If you start a subscription service after the 10th day of the month and need immediate assistance during the same month, the Firm can (i) start your subscription that month if there is availability to provide the services in a shortened period or (ii) quote a separate fee for the services that we can provide in the current month. Ex: if you sign up for a subscription in the last week of the month we may not be able to accommodate all of the services included in the subscription during that week.
Matter Timing. If your subscription tier includes contract review, please note that whether you have used the contract services for the month is based on when you submitted the contract for review and not based on when the contract review was completed.
Ex: If you submit two contracts for review at the end of September that are completed in October, the two contracts will count towards your September subscription services.
Unused Subscription Services. Subscription services are made available on a monthly basis. Except as provided immediately below, there is no rollover or refund for unused subscription services. Ex: if you schedule only one of two available client sessions during a month, the unused client session will not rollover or be available for use in the following month. Unused subscription services will rollover to the next month only if the Firm is closed for vacation or holidays for more than seven business days in a given month. This is to ensure clients have had reasonable opportunity to utilize the monthly services.
Subscription Modification. You can modify your selected subscription type each month, either moving up or down between the Premium and Select subscription memberships. You must provide notice (email notice is sufficient) that you would like to modify your subscription tier by the 20th day of the current month for it to be effective the following month.
Modification of your subscription membership is subject to availability. Ex: If you have a Select membership and wish to upgrade to a Premium membership, the ability to upgrade is subject to the availability of Premium memberships.
Add-On Services. You are able to add flat fee or hourly services, at the specified discount rate, to a subscription service to fit your specific legal needs.
Subscription Availability. Subscription memberships are available based on capacity and may be closed or subject to a waitlist during certain periods. Waitlist participants will be ranked based on a first come first serve basis and offered a membership whenever a space becomes available. Waitlist participants will be given two business days from the time of notice to confirm their membership and sign an engagement agreement. If a waitlist participant does not respond and sign an engagement agreement within two business days following such notice, the available membership will be offered to the next waitlist participant.
Subscription Term and Termination. Subscription memberships are month to month and can be cancelled at any time. If a subscription is cancelled by the 20th day of a month, the termination will be effective at the end of the current month and you will not be charged for the following month. If you terminate membership after the 20th day of a month, the termination will be effective at the end of the following month.
Ex: You send termination notice on September 20th (email notice is sufficient), your subscription will terminate on September 30th and you will not be charged for October. You can continue using the subscription services through September 30th.
Ex: You send termination notice on September 21st. Your subscription will terminate on October 31st and you will not be charged for November. You can continue using the subscription services through October 31st.
Quarterly Strategy Meeting. The Select and Premium memberships include a Quarterly Strategy Meeting, which becomes available every third consecutive month. Because this service is available in both membership tiers, it is not affected by any change in your membership tier. Ex: You initiate membership at the Select level for September and October and then upgrade to the Premium membership in November. The Quarterly Strategy Meeting is still available to you in November, your third consecutive month of membership.
Unlimited Messaging Service. If your subscription includes unlimited messaging this covers standard responses (i.e. responses that typically take a half hour or less). It does not cover legal research questions or projects. Unlimited messaging is meant to allow us to engage in regular, ordinary course communications without you having to worry about receiving an itemized bill for every email you send. If we believe that something falls outside of a standard response we will let you know and ask whether you want us to proceed with the request or question. If you wish for us to proceed, we can default to our hourly rate or quote a flat fee charge, your choice.
Changes to Subscription Terms. These terms and conditions are subject to change without notice. Any changes to the subscription membership terms made by the 15th day of a month will be effective for existing members on the first day of the month following the change. Any changes made to the subscription membership terms after the 15th day of a month will be effective for existing members in the second month following the change. Ex: if there is a change to a membership term on September 18th, the change will be effective for existing members on November 1st.
Additional terms and conditions will be specified in the engagement letter between you and the Firm.
